By accessing or using Gradelog (gradelog.com) or creating an account, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use Gradelog.
These Terms form a legally binding agreement between you (and your organization, if applicable) and Gradelog (420 Industrial Blvd, Nash, TX 75569). For legal inquiries, contact legal@gradelog.com.
AUTO-RENEWAL DISCLOSURE
YOUR SUBSCRIPTION AUTOMATICALLY RENEWSat the end of each billing period (monthly or annual, as selected). You will be charged your plan's price on your renewal date using the payment method on file, unless you cancel before the renewal date.
To cancel: Go to Settings → Account → Cancel Subscription and follow the cancellation instructions. You may cancel at any time. Access continues until the end of your current paid billing period. No partial-month refunds are provided (see Section 8).
GradeLog Trial Access
Trial access to Gradelog/GradeLog is a one-time gift associated with eligible equipment purchases from Express Tools or authorized dealers. Trial access is not transferable, cannot be sold or gifted to third parties, and is valid for a single user account. After trial expiration, a paid subscription is required to continue accessing premium features. Gradelog reserves the right to modify or discontinue trial programs at any time.
You retain full ownership of all field reports, photos, documents, and other content you upload to Gradelog ("Your Content"). We do not claim ownership of Your Content.
By uploading content to Gradelog, you grant us a limited, non-exclusive, worldwide license to store, process, and display Your Content solely to operate and deliver the Gradelog service to you. We do not use Your Content for advertising, train AI models on your proprietary field data without consent, or share it with third parties except as necessary to provide the service (see Privacy Policy).

AI & Your Data
Your project data, photos, and field documentation are used only to provide the Gradelog service to you. Customer data is not used to train AI models for other customers or for general model improvement without your explicit consent. Anthropic may process conversation data per its own privacy policy and API terms.
AI Rights & Opt-Out
You have the right to opt out of profiling or automated decision-making that produces significant effects. You may request human review of any AI-influenced outcome. Contact privacy@gradelog.com to exercise these rights.
Gradelog complies with applicable AI transparency obligations under the EU AI Act (deployer duties), CPRA automated decision-making rules, Colorado AI Act, Utah AI Policy Act, and California AI transparency requirements.

How to Cancel — As Easy as Signing Up
You may cancel your Gradelog subscription at any time, entirely online, without contacting support:
Cancellation takes effect at the end of your current billing period. You retain full access to paid features until then. We do not prorate or refund unused portions of your subscription period unless required by law.
Annual Plan Renewal Reminders
If you are on an annual plan, we will send you a renewal reminder email at least 7 days before your renewal date, with clear instructions on how to cancel if you do not wish to renew.
If you believe content on Gradelog infringes your copyright, send a DMCA takedown notice to:

Your notice must include: identification of the copyrighted work, location of the infringing material, your contact information, a statement of good faith belief, and your signature (electronic is acceptable).
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRADELOG, ITS OFFICERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO GRADELOG IN THE 12 MONTHS PRECEDING THE CLAIM.
Gradelog is a documentation and reporting tool. It does not replace engineering judgment, safety inspections, or regulatory compliance review. Field measurements must be verified by qualified personnel.
Consumer Law Carve-Outs
Nothing in this limitation of liability affects any statutory rights you may have as a consumer that cannot be excluded or limited by contract. EU/UK consumers retain rights under applicable consumer protection legislation. Australian consumers retain rights under the Australian Consumer Law. These statutory rights apply regardless of the limitation above.
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
Legal actions arising from these Terms shall be brought in the state or federal courts of Texas, and you consent to personal jurisdiction in those courts.
Contact us at legal@gradelog.com before filing any legal claim. We will make a good-faith effort to resolve disputes within 30 days.
Unresolved disputes shall be settled by binding arbitration under AAA rules, on an individual basis. You waive the right to participate in class action litigation or class-wide arbitration.
We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of Gradelog after changes take effect constitutes your acceptance.
